These terms of use ("Terms") govern your access to and use of all Optiq Data-branded publicly available websites, including sites located on optiqdata.com and any other pages that link to these Terms (collectively, the "Sites"). These Terms expressly do not govern your access to or use of any proprietary Optiq Data platform services, which are subject to separate terms of service or other agreements between Optiq Data LLC ("Optiq Data") and its subscribers ("Subscribers").
PLEASE READ CAREFULLY THESE TERMS AND THE OPTIQ DATA PRIVACY POLICY ("PRIVACY POLICY") WHICH IS INCORPORATED BY REFERENCE INTO THESE TERMS. BY ACCESSING OR USING ANY OF THE SITES, YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD, YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, AND YOU AGREE TO BE LEGALLY BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SITES.
Throughout the Terms, "we," "us," "our" and "ours" refer to Optiq Data, and "you," "your" or "yours" refer to you personally (i.e., the individual who reads and agrees to be bound by these Terms) and, if you access the Sites on behalf of a legal entity, to that entity. If you are using the Sites on behalf of any entity you represent and warrant that you are authorized to accept these Terms on such entity's behalf and, by accepting these Terms, you are binding that entity to these Terms.
Subject to your compliance with these Terms, solely for so long as you are permitted by Optiq Data to access and use the Sites, and provided that you keep intact all copyright and other proprietary notices, you may view Content and you may download and print the materials that Optiq Data specifically makes available for downloading from the Sites (such as white papers or user documentation), in each case solely for informational purposes and solely for personal or internal business use.
Acceptance of Terms
Optiq Data provides the Sites to you conditioned upon your accepting all of the Terms, without modification. Your use of the Sites constitutes your agreement with such Terms. We reserve the right to change, modify, add to, or remove portions of these Terms at our sole discretion at any time and we will, at our sole discretion, either post the modification on https://www.optiqdata.com/legal/termsofservice or provide you with email notice of the modification. Any changes to these Terms will be effective immediately upon posting. Your continued use of the Sites following the posting of any changes to these Terms constitutes acceptance of those changes.
User Accounts
If you have registered for and opened an account through the Sites (an "Account"), you are entirely responsible for maintaining the confidentiality of your Account information, including your password, and for any and all activity that occurs under your Account. You agree to notify Optiq Data immediately of any unauthorized use of your Account or password, or any other breach of security. You will remain responsible for losses incurred by Optiq Data or any other party due to your breach of this security responsibility.
License Grant and Proprietary Rights
Provided that you fully comply at all times with these Terms, Optiq Data grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites. All content and materials available through the Sites ("Content"), including but not limited to graphics, text, images, software, logos, and trademarks, are owned or licensed by Optiq Data and protected by copyright, trademark, and other intellectual property rights. You may not copy, modify, reproduce, republish, upload, post, transmit, or distribute any Content without Optiq Data's prior written consent.
Submissions
You may submit messages, content, feedback, ideas, or other materials ("Submissions") through the Sites. By doing so, you grant Optiq Data an irrevocable, non-exclusive, royalty-free, worldwide license to use, modify, distribute, and display those Submissions for any purpose. You represent and warrant that you have all rights necessary to provide the Submissions and that they do not violate any third-party rights.
You may not post Submissions that:
- Are unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable
- Contain private or personal information without consent
- Violate intellectual property rights
- Are advertisements, spam, or solicitations without authorization
- Include malware or harmful code
Required Conduct While Using Our Sites
You agree to use the Sites only for lawful purposes and in accordance with these Terms. You will not:
- Use the Sites in a manner that could disable, damage, or impair them
- Interfere with others' use of the Sites
- Access data not intended for you
- Use automated tools to scrape or copy site content without authorization
- Attempt to probe, scan, or test system security
Third-Party Links
The Sites may link to third-party content. Optiq Data is not responsible for and does not endorse any such content. Your use of third-party links is at your own risk and subject to the terms of the third-party provider.
Disclaimer of Warranties
THE SITES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." OPTIQ DATA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIQ DATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED $100.
Indemnification
You agree to indemnify, defend, and hold harmless Optiq Data and its affiliates, employees, and agents from any claims, damages, or expenses arising from your use of the Sites or violation of these Terms.
Termination
We may terminate or suspend your access to the Sites at our sole discretion, with or without notice. Upon termination, your license to use the Sites will immediately cease.

Governing Law
These Terms shall be governed by the laws of the State of California, and you consent to the exclusive jurisdiction of courts located in Orange County, California for any dispute.
